These Terms of Service (“Terms”) are between Elbah Group Limited (company number 15108393) trading as Sentinel (“Sentinel”, “we”, “us”) and you. These Terms govern your use of the Sentinel website and services (the “Services”). Any policies referenced in these Terms (including the Sentinel Privacy Policy) are incorporated by reference.

Please read these Terms carefully before accessing or using the Services. By accessing or using any part of the Services, you agree to become bound by these Terms. If you do not agree to these Terms, then you may not access or use the Services.

We may update these Terms from time to time. We will provide advance notice of material changes. Changes take effect on the effective date stated in the notice and apply prospectively.

If you do not comply with these terms, and we don’t act right away, this doesn’t mean that we’re forfeiting any rights that we may have (such as acting in the future).

If any of these Terms and Conditions are rendered invalid or void, the other Terms and Conditions will remain in fact. The section titles in the Terms of Service are for convenience only and have no legal or contractual effect.

Contents of Terms

Your Sentinel Account

If you have an account on the Service, you are responsible for maintaining the security of your account (the e-mail used and password) and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account.

You must not use Sentinel services in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Sentinel may change or remove any monitors, configurations, or other account resources that it reasonably considers inappropriate or unlawful, or otherwise likely to cause Sentinel liability. You must immediately notify Sentinel of any unauthorized uses of your account or any other breaches of security.

You are responsible for all activity carried out using your account.

You must own, control, or have all necessary permission to monitor, query, test, or otherwise interact with any endpoint, domain, URL, IP address, service, network, or system you configure or target through the Services. This requirement applies to monitors, on-demand checks, workflows, and every request or action they perform.

Customer Responsibilities and Acceptable Use

By using the Services, you agree that you will:

  • Provide accurate account and contact information;
  • Keep credentials secure;
  • Use the Services only in compliance with applicable law, these Terms, third-party terms that apply to a target system, and the permissions described above;
  • Configure monitors, schedules, triggers, loops, retries, and request rates responsibly, and do not interfere with, overload, degrade, or disrupt the Services or any third-party network, service, or system;
  • Do not use notification channels to send spam or unlawful communications;
  • Do not create accounts to circumvent plan limits or enforcement;
  • Do not use the Services to scan, probe, enumerate, exploit, or obtain unauthorised access to systems; conduct credential attacks; perform denial-of-service, stress, or load testing; distribute malware; or carry out similar security testing or abusive activity unless you have the target owner’s express authorisation and comply with all applicable laws;
  • Do not use web requests, custom headers or payloads, redirects, or other workflow features to reach private, internal, link-local, metadata, administrative, or otherwise restricted resources that you are not authorised to access, or to bypass authentication, access controls, rate limits, or other safeguards;
  • Review and test automated workflows before enabling them, monitor their operation, and promptly disable or correct any workflow that behaves unexpectedly or may cause harm; and
  • Remain responsible for the configuration, operation, outputs, and external effects of your monitors and workflows, including requests, payloads, headers, notifications, and incident actions performed using your account.

Sentinel has the right (though not the obligation) to refuse, remove, disable, rate-limit, or suspend any monitor, workflow, request, trigger, configuration, or other account resource that Sentinel reasonably considers unlawful, unauthorised, harmful, abusive, insecure, or likely to cause Sentinel liability or disruption. We may suspend or terminate access where we reasonably believe there has been a breach of these Terms, misuse of the Services, unlawful activity, or a security risk. We may act without advance notice where reasonably necessary to protect Sentinel, its users, a third party, or the security or availability of any service or system. Except as required by law or as set out in these Terms, we have no obligation to provide refunds for amounts previously paid.

Services Provided

Sentinel checks monitors configured by you at user-defined intervals or, for heartbeat monitoring, waits for an external system to check in. When a failure, expiry risk, or relevant change is detected, Sentinel may notify your configured contacts through supported channels such as e-mail, SMS, telephony, or Discord. Core monitoring and checking functionality includes, without limitation:

  • HTTP/HTTPS website and endpoint availability monitoring;
  • DNS record monitoring and change detection;
  • SSL/TLS certificate validity and expiry monitoring;
  • Domain registration and expiry monitoring using WHOIS;
  • Heartbeat monitoring for scheduled jobs and external systems;
  • On-demand domain checks through the Domain Checks API, including WHOIS, SSL/TLS, and DNS lookups; and
  • Bespoke monitoring and automated checks configured through Workflows by combining available requests, checks, data, logic, schedules, and triggers.

Where available under your plan, Workflows provides a programmable automation layer for supported monitoring and service tasks and may be used to create bespoke types of monitoring. A workflow may combine web requests; SSL certificate, domain-registration and DNS checks; notifications to your team’s configured contacts; incident actions; monitor data; variables; formatting and parsing; loops; and conditional logic. Workflows may run manually, on a schedule, or in response to monitor events. Available tasks and resulting monitoring types may change as the Services evolve.

Workflows can run repeatedly and without further user interaction. You are responsible for ensuring that each workflow, including every target, request, method, header, body, loop, condition, schedule, and trigger, is lawful, authorised, appropriately tested, and safe for its intended use. Sentinel does not verify that you own or are authorised to interact with a configured target.

Workflow availability and execution may be subject to plan limits, usage credits, security controls, rate limits, processing controls, maintenance, and capacity. Sentinel may delay, coalesce, skip, stop, or refuse a run where reasonably necessary to enforce those controls or protect the Services or third parties. We do not guarantee that a workflow will start or finish at a particular time, run without interruption, or execute exactly once.

Additional Monitoring Features

The Services may also provide the following monitoring, alerting, incident, workflow, reporting, and agent features, subject to the applicable plan and configuration:

  • API monitoring, including configurable requests, expected responses, and latency threshold alerts
  • Onsite monitoring through an installed agent, including check-in status, CPU utilisation, memory utilisation, drive or partition utilisation, system information, and other telemetry made available by the agent
  • Threshold alerts and incident records for supported monitor types
  • Monitor history, charts, reports, exports, and risk or reliability summaries

Where you use onsite monitoring, you are responsible for installing the agent only on systems you are authorised to administer, protecting the onsite token, and ensuring that the collection of device, system, software, and utilisation information is lawful. Generating a replacement token may revoke the previous token where the Services provide token rotation.

Workflows may run manually, on a schedule, from monitor events, or from supported monitor-specific conditions such as availability, latency, utilisation, or other alert signals. Automated workflows, notifications, incidents, reports, exports, and telemetry are operational aids and are not guarantees of detection, delivery, accuracy, or uninterrupted service.

Different paid plan tiers allow for different user-definable checking intervals (subject to plan limits) and/or the ability to check more services and have additional package related credits for SMS and Telephony. We aim to provide the Services reliably, but do not guarantee uninterrupted operation or that alerts will be delivered without delay. Delivery may depend on third-party providers and networks.

Refund Policy

Refunds are set out in the ‘Refunds and Cancellation’ section below

General Terms

By selecting an Upgrade, you agree to pay Sentinel the monthly or annual subscription fees indicated for that service.

Payments will be charged on a pre-paid basis on the day you sign up for an Upgrade and will cover the use of that service for a monthly or annual subscription period as indicated.

For any plan to upgrade, the payment method that you provided will be charged or credited with the new prorated amount for the current period upon your request.

You will be requested to pay the rate for the upgrade for the period from the date of the upgrade to the end of your current billing cycle.

After successful confirmation of purchase, you will receive access to your new plan within a few minutes (depending on the speed of our payment processor).

The new rate will apply to your next billing cycle. A downgrade in a plan will be scheduled for your usual renewal date, meaning your current plan will remain active until the end of your current prepaid period. The new rate for your plan will apply and be charged on your next billing cycle.

As an exception, if you downgrade your plan within 24 hours of expiration, the new plan will become active within a few minutes, without any proration applied. If the new plan does not fit the limits of your account resources (e.g., monitors and/or seats, etc.) we reserve the right to deny a downgrade of your plan, or to suspend resources that do not fit the limit. In such cases, you will be informed before this happens. Sentinel reserves the right to change the payment terms and fees with advance notice.

Prices are exclusive of VAT unless stated otherwise.

Automatic Renewal

Unless you notify Sentinel before the end of the applicable subscription period that you want to cancel your package, your subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee for such package (as well as any taxes) using any credit card or other payment mechanism we have on record for you.

Subscriptions can be cancelled at any time through the Sentinel Website via your account settings on the Sentinel Website.

Refunds and Cancellation

You have the right to withdraw from this contract without giving any reason within fourteen (14) calendar days of purchase (the “Withdrawal Period”).

If you request immediate access to paid Services during the Withdrawal Period, you consent to us starting performance immediately and acknowledge that your right to cancel may end once performance begins (where applicable).

Upon withdrawal, Sentinel shall reimburse all payments received from you, without undue delay and no later than fourteen (14) calendar days from the day on which we are informed of the withdrawal. To withdraw, contact [email protected] or use the cancellation function in your account.

You may terminate your subscription to an Upgrade at any time, in which case you will not be charged for any future subscription renewal periods (though your current prepaid period will continue until its end).

However, any subscription fees you have paid in advance will not be refunded outside of the Withdrawal Period. For special cases or material breaches by Sentinel, we may consider providing a refund or service credit for paid but unused Services. Please contact [email protected] for assistance.

Delivery Policy

Upon receipt of your order, the services will be performed to you in accordance with the terms applicable to the services that you purchased. The nature of the services you purchased, and the date of your purchase may impact the timing of the performance of the services. The Services are delivered when access to the upgraded plan is enabled on your account.

Intellectual Property

Agreeing to these Terms does not grant you any ownership or rights in Sentinel’s or any third party’s intellectual property. All ownership rights remain solely with Sentinel or the applicable third party. Sentinel, the Sentinel logo, and all related names, logos, and branding used with the Services are trademarks or registered trademarks of Sentinel or its licensors. Any other trademarks used with the Services belong to their respective owners. Your use of the Services does not give you permission to copy, display, or otherwise use any trademarks owned by Sentinel or third parties. You retain all rights to Customer Data. We use Customer Data only to provide and improve the Services and as described in the Privacy Policy and DPA. Customer Data means data you submit to, generate through, or configure within the Services, including monitors, contact details, workflow graphs and settings, request URLs, headers and bodies, variables, task inputs and outputs, incident content, and other configurations.

Changes

Sentinel may update these terms or any related terms from time to time. We’ll provide advance notice of material changes through the website, email (for active users), or other reasonable methods.

If you do not agree to the updated terms, you may stop using the Services before they take effect. By continuing to use or access our Services after the effective date, you agree to the updated terms.

Termination

We may suspend or terminate access immediately for misuse, unlawful activity, or security risk. Otherwise, we will provide reasonable notice where practicable. If you wish to terminate these Terms or your Sentinel account (if you have one), you may simply discontinue using the Services. To stop billing, you must cancel your subscription via your account settings. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer of Warranties

The Services are provided “as is”. Sentinel and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Sentinel nor its suppliers and licensors make any warranty that the Services will be error-free or that access thereto will be continuous and uninterrupted.

Limitation of Liability

In no event will Sentinel, or its suppliers or licensors, be liable with respect to any subject matter of these Terms under any contract, negligence or strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute Services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Sentinel under these Terms in the twelve (12) months immediately preceding the event giving rise to the claim. Our total aggregate liability in any twelve (12) month period is capped at those fees. Sentinel shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud/fraudulent misrepresentation, or any liability that cannot be excluded by law.

General Representation and Warranty

You represent and warrant that: (i) you will use the Services in accordance with these Terms, the Sentinel Privacy Policy, and all applicable laws and regulations; and (ii) your use of the Services will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification

You agree to indemnify and hold harmless Sentinel, its contractors, and its licensors and their respective directors, officers, employees and agents from and against any and all claims and expenses, including reasonable legal costs, arising out of your breach of these Terms, unlawful use of the Services, or infringement of third-party rights.

No Resale or Redistribution of Service

You may use the Services for your personal use or your internal business purposes (as applicable) and may allow access only to your authorised users within your household or your organisation (and, where applicable, authorised contractors acting on your behalf), in each case strictly in accordance with your subscription plan. You are responsible for all use of the Services under your account and for ensuring that your authorised users comply with these Terms. You must not resell, sublicense, white-label, distribute, or otherwise make the Services available to any third party (including as a service bureau or managed service) without the prior written consent of Elbah Group Limited.

Contacting Elbah Group

You may contact us at [email protected]. We may send notices to the email address associated with your account. Notices are deemed received when sent, provided no delivery failure message is received.

If you provide suggestions or feedback about the Services, you grant us a non-exclusive, worldwide, royalty-free right to use that feedback to operate, maintain, and improve the Services. This does not grant us rights to your Customer Data or confidential information.

Email is not fully secure; do not send special category data or credentials by email.

Data Processing Agreement

Elbah Group Limited processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, together with all other applicable UK data protection laws.

A separate Data Processing Agreement (“DPA”) will be made available to users who qualify as data controllers and who process personal data through Elbah Group Limited’s Services. The DPA forms an integral part of these Terms and will be made available upon request.

The Services are not directed at individuals under the age of sixteen (16), and Elbah Group Limited does not knowingly collect personal data from such individuals. If we learn that personal data has been collected from a child under 16, we will delete it. Where a parent or legal guardian believes that a child has provided personal data in connection with the Services, they may contact Elbah Group Limited to request appropriate action.

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

All disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, regardless of the domicile of the parties.
